The FCC today issued a Public Notice announcing its first EEO audit for 2016.  Letters to about 280 radio and television stations went out on February 24 asking for evidence of their compliance with the FCC’s EEO rules.  In today’s notice, the FCC released the form audit letter and list of stations that will be audited. Responses from the audited stations are due to be filed at the FCC by April 11. Licensees should carefully review this list of affected stations which was released with the Public Notice to see if any of their stations have been selected for the audit.

The Commission has pledged to audit 5% of all broadcast stations and cable systems each year to assure their compliance with the Commission’s EEO rules – including the requirements for wide dissemination of information about job openings and non-vacancy specific supplemental efforts to educate a station’s community about job opportunities in the media industry.  We recently summarized FCC EEO issues here, reminding broadcasters of the possibility of being audited.  We also wrote about the start of the obligations for the filing of FCC Form 397 EEO Mid-Term Reports – which started last year for radio groups with more than 11 full-time employees and will extend to TV licensees with 5 or more full-time employees in a few months, and are filed on the 4th anniversary of the filing deadline for the station’s license renewal – which will give the FCC another chance to review station EEO performance.

December is one of those months when all commercial broadcasters have at least one FCC deadline, and there are also many other filing dates of which many broadcasters need to take note.  For all commercial broadcasters, Biennial Ownership Reports are due on December 2.  Hopefully, most broadcasters have already completed this filing obligation, as FCC electronic filing systems have been known to slow as a major deadline like this comes closer.  See our article here for more on the Biennial Ownership filing requirement that applies to all commercial broadcast stations.

Noncommercial stations are not yet subject to the uniform Biennial Ownership Report deadline (though the FCC has proposed that happen in the future, see our article here, a proceeding in which a decision could come soon).  But many noncommercial stations do have ownership report deadlines on December 1, as noncommercial reports continue to be due every two years, on even anniversaries of the filing of their license renewal applications.  Noncommercial Television Stations in Colorado, Minnesota, Montana, North Dakota, and South Dakota have to file their Biennial Ownership Reports by that date.  Noncommercial AM and FM Radio Stations in Alabama, Connecticut, Georgia, Maine, Massachusetts, New Hampshire, Rhode Island, and Vermont also have the same deadline for their Biennial Ownership Reports.

Last week, I conducted a webinar on the FCC’s EEO rules for 19 state broadcast associations, explaining the issues that broadcasters need to keep in mind to comply with those rules.  The slides from my presentation are available here.  On the same day, the FCC issued a Public Notice announcing another of their random EEO audits – this one limited to MVPD, principally cable systems, not broadcasters.  But, as the FCC has promised to audit 5% of all broadcast stations every year, the MVPD audit notice only serves as a reminder to broadcasters to keep up their FCC outreach efforts and recordkeeping requirements to make sure that, if they are audited, they will pass with flying colors.

During my presentation, I had a series of questions about defining an employment unit for EEO purposes.  A station employment unit is a group of commonly controlled stations serving a common geographic area having at least one employee in common.  The number of employees in an employment unit is important for determining if a station has, for instance, 5 full-time (30 hours per week) employees making it subject to the FCC outreach efforts requirements (and, for TV stations, the requirement to file a Mid-Term EEO report).  For radio groups, having 11 or more full-time employees in an employment unit makes them subject to the requirement to file with the FCC an EEO Mid-Term report.  If the unit spans different states with different EEO public inspection file dates, the licensee should pick one of the dates and consistently apply it in the future (filing the consistently prepared reports on the deadlines for FCC filings for each station in the group).  For stations newly acquired by an owners in its market, the buyer is responsible for the including the new station in the employment unit and reporting on the employment activities of the station from the date that the station is acquired.

The FCC yesterday issued a Public Notice announcing its second EEO audit for 2015.  Letters to just over 100 radio (no TV stations were included in the current audit) went out on June 12 asking for evidence of their compliance with the FCC’s EEO rules.  Many of the stations included on this list appear to be noncommercial broadcasters. In yesterday’s notice, the FCC released the form audit letter and list of stations that will be audited. Responses from the audited stations are due to be filed at the FCC by July 27. Licensees should carefully review the list of affected stations contained in the Public Notice to see if any of their stations have been selected for the audit. Note that there are some blank pages included in the PDF version available at this link, so be sure to scroll through these blank pages to view the entire list of audited stations.

June brings some standard obligations for broadcasters in a number of states with anniversaries of their license renewal filing, plus the return of an obligation that we have not seen in 4 years- the obligations of radio stations in certain states to file an FCC Form 397 Mid-Term EEO Report. In addition to these routine regulatory deadlines, comment dates on certain FCC proceedings, a new CALM Act deadline, and some decisions for which broadcasters should be watching are among the regulatory actions that we can expect this coming month.

First, let’s look at the standard recurring obligations. By June 1, Annual EEO Public Inspection File Reports need to be placed in the public inspection files (including the online files of TV stations) of stations that are part of a station employment unit with five or more full-time (30 hours per week) employees that are licensed to communities in these states: Arizona, Idaho, Maryland, Michigan, Nevada, New Mexico, Ohio, Utah, Virginia, West Virginia, Wyoming, and the District of Columbia.  As we wrote in more detail yesterday, June 1 also brings the obligation of radio stations that are part of employment units with 11 or more full-time employees, and are located in Maryland, DC, Virginia or West Virginia to file their Form 397, EEO Mid-Term Report. Every other month for the next four years we will see a similar obligation arise for a group of radio or TV stations in states that have celebrated the 4th anniversary of the filing of their license renewal applications.

EEO Mid-Term Reports on FCC Form 397 must be filed at the mid-point of the renewal cycle of radio stations if they are part of a station employment unit with more than 10 full-time employees, or 5 or more full-time employees for TV. A station employment unit is one or more commonly-controlled stations serving substantially the same area, and sharing at least one employee. As it has been 4 years since the first radio renewal applications were filed in the last license renewal cycle, June 1 brings the deadline for radio groups in Maryland, DC, Virginia and West Virginia that have more than 11 or more full-time (30 hours per week) employees to file their Form 397 Reports. The FCC yesterday issued a reminder to stations about this obligation.

The reminder does not address in any detail the content of the form. Essentially, the Form 397 (which can be viewed here) is like the Form 396 filed by stations in connection with their license renewal applications. After providing identifying information, the form requires that station licensees identify a person who is responsible for EEO compliance at the station, and to attach their last two EEO Public Inspection File Reports – the most recent of which will, for stations in these states, need to be placed in the public inspection file by June 1. These Public Inspection File reports can be reviewed by the FCC to assess the hiring efforts made by the broadcaster for job openings in the last two years to insure that the station’s outreach efforts to prospective new employees were sufficiently broad to attract applicants from all significant groups within the station’s service area. The FCC yesterday issued a Public Notice announcing the first set of EEO audits for 2015.  Letters to over 250 radio and TV stations went out asking for evidence of their compliance with the FCC’s EEO rules.  The Commission has pledged to audit 5% of all broadcast stations and cable systems each year to assure their compliance with the Commission’s EEO rules – requiring wide dissemination of information about job openings and non-vacancy specific supplemental efforts to educate their communities about job opportunities in the media industry. We recently summarized the FCC EEO issues here, reminding broadcasters of the possibility of being audited, and of the upcoming deadlines for the filing of FCC Form 397 EEO Mid-Term Reports, which will give the FCC another chance to review station EEO performance.  In yesterday’s notice, the FCC released the form audit letter and list of stations that will be audited. Responses from the audited stations are due to be filed at the FCC by March 24. Licensees should carefully review the list of affected stations contained in the Public Notice to see if any of their stations have been selected for the audit. 

The audit letter requires all stations with 5 or more full-time (30 or more hours per week) employees to provide a significant amount of information about their EEO programs and recruiting efforts (including copies of their 2 latest Annual EEO public file reports and documentation backing up the efforts listed on those reports).  Even stations with fewer than 5 full-time employees need to report the names and positions of their employees, and provide any information about law suits, EEOC complaints or similar employment actions brought as a result of equal employment or discrimination matters.

While we were sidetracked by the government shutdown in posting reminders about regulatory deadlines for broadcasters during the last two months, it’s about time to put that behind us, and to resume our monthly practice. While everyone may be looking forward to the holidays, they need to remember that December does bring a number of regulatory obligations for broadcasters across the country.  For instance, license renewals are due on December 2 (as the 1st is a Sunday) for the following station groups: Commercial and Noncommercial Full-Power and Class A Television Stations, TV Translators, and LPTV Stations in Colorado, Minnesota, Montana, North Dakota and South Dakota; Commercial and Noncommercial AM and FM Radio Stations, FM Translators, and LPFM Stations in Connecticut, Maine, Massachusetts, New Hampshire, Rhode Island, and Vermont.

Radio and television stations in all of those states, plus those in Alabama and Georgia, that have 5 or more full-time employees in their station employment groups, also have the obligation to complete their Annual EEO Public Inspection File Report, and to place that report into their public file (for TV stations, that would be their online pubic file).  The deadline for those reports to be complete and posted is December 1.  Radio stations in these states also need to post the most recent report on their websites, if they have a website. 
Continue Reading December Regulatory Deadlines For Broadcasters – Renewals, Ownership Reports, CALM Act, and TV Form 317

The care and feeding of the broadcaster’s public file is a hot topic once again. For many years, the public file was often overlooked, being visited most often by competing broadcasters looking for dirt on their cross-town rivals, or by college journalism students assigned a project by their professor requiring the review of local stations’ files. But, with the debate that occurred earlier this year over the online public file for television stations, the file has received much publicity, being the subject of review and analysis in the popular and academic press, as well as in the broadcast trade journals. This week, the FCC issued a reminder about the obligations of a television broadcaster for complying with the public file rules (see that reminder here). In the past two weeks, I’ve conducted two seminars for broadcast groups on the public file obligations of stations. The first was a webinar for 20 state broadcast associations and their members, organized by the Michigan Association of Broadcasters. The PowerPoint slides used in that presentation are available here.

The slides set out information about the importance of the file, and provide some description of the required contents of the file, and the retention period for documents that need to be contained in the file. Radio stations have the obligation to place all of the required documents in their local, paper files and maintain them there for the appropriate period of time. TV stations, with the advent of the FCC-hosted public file (see one of our previous posts on the mechanics of the online file here), actually have a somewhat easier time in meeting some of their obligations – as the FCC itself will post to the file all documents that stations are required to file with the FCC – including renewal and technical applications, ownership reports, children’s television reports, coverage maps, the station license and the Public and Broadcasting procedure manual. Radio stations need to find all of these documents and manually place them into their files. TV stations need only upload other information that is not filed at the FCC – like Quarterly Issues Programs lists, annual EEO Public File Reports, and certifications as to the station’s compliance with the Children’s television commercial limits.
